Terms and Conditions of Sale

1. Purpose

These Terms and Conditions of Sale (hereinafter “Terms”) govern the conditions of subscription to the Migra-PC service offered by MFT Andorra LLC, 111 NE 1st Street, 8th Floor, Suite 89198, Miami, FL 33132, USA (hereinafter “Migra-PC”).

2. Service description

Migra-PC is a software and online service providing computer insurance, allowing:

• automatic and periodic backup of files, bookmarks, software and passwords stored on the user’s computer;
• restoration of this data to a new computer in case of breakdown, theft or hardware change;
• end-to-end encryption (“zero-knowledge” architecture): files are encrypted on the user’s computer before any transfer to our servers; Migra-PC cannot technically decrypt or read the content of backups.

3. Acceptance

Subscribing to a Migra-PC plan implies full acceptance of these Terms, as well as of our privacy policy and our terms of use.

4. Subscription plans and pricing

Migra-PC offers two subscription plans, each available in monthly and annual cycles:

Prices are expressed in euros, all taxes included where applicable. MFT Andorra LLC reserves the right to modify its pricing; any change will be communicated to the subscriber at least 30 days in advance and will only apply to the following billing cycle.

5. Free trial period

Every new subscription benefits from a free trial period of 7 days. A valid credit card is required at sign-up, but no charge is made during the first 7 days.

At the end of the trial period, and unless cancelled by the subscriber before the end of this period, the subscription is automatically activated and the first payment is charged to the registered credit card.

The subscriber may cancel their trial at any time from their account area (“Manage my subscription”). Such cancellation during the trial results in no charge.

6. Financial terms

Payment is made by credit card via our payment provider Stripe Inc., which ensures the security of transactions and the storage of card data. MFT Andorra LLC never has access to card numbers.

The subscription is charged in arrears: at the start of each period (monthly or annual), the corresponding price is automatically charged.

In case of payment failure, the subscriber is notified by email. Several payment attempts will be made automatically by Stripe over a maximum period of 7 days. After this period without payment, the subscription is suspended and access to new backups is blocked (see article 8).

7. Duration and termination

The subscription is entered into for an indefinite period, tacitly renewed at each expiry date (monthly or annual) according to the chosen plan. It can be terminated at any time, free of charge, from the account area (“Manage my subscription”).

The termination takes effect at the end of the current billing period: the subscriber retains full access to the service until that date.

8. Grace period and data deletion

In case of payment cessation (cancellation, payment failure not regularized), Migra-PC applies a grace period of 30 days during which the subscriber retains access to their existing backups for restoration (read only). New backups are no longer possible.

At the end of this 30-day period, stored files are permanently deleted from our servers. The user account may be retained to allow possible reactivation. This deletion is irreversible.

9. Right of withdrawal

Pursuant to article L221-18 of the French Consumer Code, the consumer has a period of 14 days to exercise their right of withdrawal from the date of subscription.

In accordance with article L221-28 of the same Code, when execution of the service begins during the withdrawal period with the prior express agreement of the consumer and express waiver of their right of withdrawal, the right of withdrawal can no longer be exercised once the service has been fully performed.

10. Service availability

MFT Andorra LLC undertakes to implement reasonable means to ensure the availability of the service. However, MFT Andorra LLC cannot be held liable for interruptions due to maintenance, updates, or force majeure events (hosting failure, internet failure, cyber attack, etc.).

11. Limitation of liability

Migra-PC is an additional backup service; it does not replace a local backup policy. The subscriber is invited to keep their own backup copies, in particular the 12-word recovery phrase that allows access to their data in case of forgotten password.

Due to the “zero-knowledge” architecture, MFT Andorra LLC cannot under any circumstances recover the data of a user who has lost both their password AND their recovery phrase.

MFT Andorra LLC’s liability is limited to the total amount paid by the subscriber during the 12 months preceding the occurrence of the damage.

12. Modification of the Terms

MFT Andorra LLC reserves the right to modify these Terms. Any substantial modification will be notified by email to subscribers at least 30 days before its entry into force. The subscriber may terminate their subscription free of charge if the new terms do not suit them.
